Starting Your LLC and Getting Bonded

Forming an LLC begins with selecting your state of registration. Most locksmiths choose their primary business state, though some opt for Delaware or Nevada for liability protection. File a Certificate of Formation (or similar document) with your state’s Secretary of State. This requires a unique business name (check availability via the state’s business database), registered agent, and management structure (member-managed or manager-managed). Fees range from $50–$500 depending on the state. After filing, create an operating agreement to define ownership roles and tax treatment—this is not legally required in all states but is critical for legal separation between personal and business assets.

Next, apply for an Employer Identification Number (EIN) from the IRS at irs.gov. This free number is required for banking, taxes, and bonding. For bonding, research your state’s specific requirements. Most jurisdictions require a surety bond (not insurance) to guarantee compliance with licensing laws. Bond amounts vary: $5,000–$10,000 is standard for locksmiths. Apply through a surety bond provider, which will assess your credit history and charge a premium (typically 1–3% of the bond amount). For example, a $5,000 bond with a 2% rate costs $100/year. Some states allow you to act as your own co-signer if you meet financial criteria.

Once bonded, submit your completed license application (including proof of bonding) to your state’s licensing board. Keep your bond active for as long as your license is valid—failure to renew the bond can result in license suspension. Always verify local requirements: some cities or counties impose additional bonding rules for subcontractors or specialty work like safe installation.
